By accessing or using the Website, submitting an enquiry, requesting a consultation, or engaging Gaiia for services, you agree to these Terms. If you do not agree with these Terms, please do not use the Website or our services.

Where a separate written agreement applies, that agreement will govern the relevant client engagement in the event of any conflict with these Terms.

2. Use of the Website

You may use the Website only for lawful purposes and in accordance with these Terms.

You agree not to:

  • use the Website for any unlawful, fraudulent, or unauthorised purpose;
  • attempt to gain unauthorised access to the Website, its systems, servers, databases, or accounts;
  • interfere with or disrupt the Website or its operation;
  • introduce malware, viruses, malicious code, or other harmful material;
  • scrape, crawl, copy, reproduce, or systematically extract Website content without our prior written permission;
  • impersonate Gaiia or another person or organisation;
  • submit false, misleading, or fraudulent information;
  • use the Website to infringe another person’s rights; or
  • use the Website in a manner that could damage Gaiia, its reputation, systems, or users.

We reserve the right to restrict or terminate access to the Website where we reasonably believe that these Terms have been breached.

3. Information on the Website

The content published on the Website is provided for general informational, educational, and professional purposes.

Although we seek to provide useful and accurate information, we do not guarantee that all Website content will always be complete, current, accurate, or suitable for every individual, organisation, business, or purpose.

Information may change without notice.

You should not rely solely on Website content when making medical, financial, legal, investment, business, operational, or other significant decisions.

Where a matter requires specialist professional advice, you should consult an appropriately qualified professional.

4. Wellness and Health Disclaimer

Gaiia works in the wellness, longevity, human-performance, beauty, hospitality, and related fields.

However, unless expressly stated otherwise in a separate written agreement, Gaiia’s Website content, assessments, consultations, strategies, recommendations, and educational materials are not medical diagnosis, medical treatment, or a substitute for professional medical care.

Nothing on the Website should be interpreted as:

  • a medical diagnosis;
  • medical advice;
  • a prescription or recommendation to start, stop, or modify medication;
  • a guarantee of a particular health outcome;
  • emergency medical advice; or
  • a substitute for consultation with a qualified healthcare professional.

If you have a medical condition or concern, you should consult an appropriately qualified healthcare professional.

If you are experiencing a medical emergency, contact the appropriate emergency services.

5. Wellness Quotient and Assessments

Gaiia may provide a Wellness Quotient, questionnaire, assessment, or similar interactive experience.

These tools are intended to provide general insights, reflection, education, or orientation based on the information you choose to provide.

Assessment results:

  • are not medical diagnoses;
  • are not clinical assessments unless expressly stated otherwise;
  • should not be interpreted as professional medical advice;
  • may not account for every aspect of an individual’s circumstances; and
  • should not be relied upon as the sole basis for significant health or lifestyle decisions.

Any recommendations or results generated through an assessment are dependent on the accuracy and completeness of the information submitted by the user.

6. Consulting Services

When you engage Gaiia for consulting or advisory services, the scope of work will generally be defined through a proposal, quotation, statement of work, engagement letter, service agreement, or other written communication.

Depending on the engagement, services may include research, strategy, advisory, workshops, concept development, system design, product or brand guidance, documentation, recommendations, or other agreed deliverables.

Gaiia will use reasonable professional efforts to provide the services described in the applicable engagement.

Unless expressly agreed in writing, Gaiia does not guarantee any particular commercial, financial, operational, customer, health, wellness, brand, product, or other outcome.

7. Client Responsibilities

Clients are responsible for:

  • providing accurate, complete, and timely information;
  • providing reasonable access to information, personnel, systems, facilities, or materials required for the engagement;
  • reviewing deliverables and providing feedback within agreed timeframes;
  • obtaining any licences, approvals, permissions, certifications, or professional advice required for their own operations;
  • ensuring that decisions made using Gaiia’s recommendations are appropriate for their circumstances; and
  • complying with applicable laws and regulations.

Delays caused by missing information, delayed approvals, or other matters within the client’s control may affect delivery timelines.

8. Fees and Payment

Fees for Gaiia’s services will be communicated to the client before or during the relevant engagement.

Unless otherwise agreed in writing:

  • fees are payable according to the payment schedule specified in the relevant proposal, quotation, invoice, or agreement;
  • applicable taxes and government charges may be additional;
  • third-party expenses or external costs may be charged separately where agreed;
  • work may be paused where invoices remain unpaid beyond the applicable payment terms; and
  • payment obligations remain subject to the terms agreed for the specific engagement.

Once work has commenced, cancellation, refund, or rescheduling arrangements will depend on the applicable engagement terms and the work already performed.

9. Consultations, Meetings, and Scheduling

Where Gaiia offers consultations, calls, workshops, or meetings, availability is subject to scheduling and confirmation.

If you need to cancel or reschedule, please provide reasonable advance notice.

Repeated failure to attend scheduled sessions or late cancellations may affect your ability to reschedule or may result in charges where those terms were communicated before booking.

Any specific cancellation or rescheduling terms provided at the time of booking will apply to that booking.

10. Intellectual Property

Unless otherwise agreed in writing, the Website and its contents are owned by or licensed to Gaiia and are protected by applicable intellectual-property laws.

This includes, without limitation:

  • text;
  • articles and written materials;
  • research and publications;
  • graphics;
  • photographs;
  • illustrations;
  • logos and branding;
  • trademarks;
  • frameworks;
  • methodologies;
  • concepts;
  • presentations;
  • visual materials;
  • website design;
  • software and code; and
  • other proprietary materials.

You may access and use Website content for personal or internal business purposes consistent with the purpose for which it is provided.

You may not reproduce, republish, modify, distribute, sell, license, publicly display, commercially exploit, or create derivative works from Gaiia’s proprietary content without prior written permission, except where expressly permitted by applicable law.

11. Client Materials and Deliverables

Clients retain ownership of materials and information they provide to Gaiia, subject to any rights granted to Gaiia for the purpose of performing the engagement.

Ownership of deliverables created specifically for a client will be determined by the applicable proposal, statement of work, engagement agreement, or other written terms.

Unless expressly transferred or assigned in writing, Gaiia retains ownership of its pre-existing:

  • methodologies;
  • frameworks;
  • know-how;
  • processes;
  • templates;
  • tools;
  • research;
  • intellectual property; and
  • general knowledge and expertise.

A client engagement does not automatically transfer ownership of Gaiia’s underlying methodologies or intellectual property.

12. Confidential Information

During a consulting engagement, either party may receive confidential or proprietary information belonging to the other party.

Each party agrees to use reasonable care to protect confidential information and to use it only for the purposes for which it was disclosed.

Confidential information does not include information that:

  • is publicly available without breach of an obligation;
  • was already lawfully known to the receiving party;
  • is independently developed without use of the confidential information; or
  • is lawfully received from a third party without a confidentiality obligation.

Nothing in this section prevents disclosure where required by applicable law or a lawful order of a competent authority.

Where a separate confidentiality or non-disclosure agreement exists, that agreement will govern the relevant information.

13. Third-Party Services and Links

The Website may contain links to third-party websites, platforms, products, services, publications, tools, or resources.

These third-party services are not controlled by Gaiia.

We do not necessarily endorse or guarantee the availability, accuracy, security, quality, or suitability of third-party services.

Your use of third-party services is subject to the relevant third party’s own terms and policies.

Where a Gaiia service incorporates or depends on a third-party platform, that platform’s availability may affect the service.

14. User-Submitted Content

If you submit comments, testimonials, feedback, images, text, ideas, or other content to Gaiia through the Website or other public channels, you are responsible for ensuring that you have the right to submit that material.

You must not submit content that:

  • infringes another person’s intellectual-property or privacy rights;
  • is unlawful, defamatory, fraudulent, or misleading;
  • contains malicious software;
  • contains confidential information that you are not authorised to disclose; or
  • violates applicable law.

By submitting content for publication, you grant Gaiia permission to use, reproduce, publish, and display that content for the purpose for which it was submitted, subject to any specific terms communicated at the time of submission.

15. Testimonials and Results

Any testimonials, case studies, examples, statements, or results presented by Gaiia are provided for illustrative or informational purposes.

Individual outcomes vary.

Past results or experiences do not guarantee that another client, business, brand, organisation, or individual will achieve the same or similar outcome.

Where a testimonial reflects the experience or opinion of a particular person or organisation, it should not be interpreted as a guarantee of results for others.

16. No Guarantee of Outcomes

Gaiia provides professional advice, strategy, research, frameworks, recommendations, and related services.

Business, wellness, hospitality, product, brand, or organisational outcomes may depend on numerous factors outside Gaiia’s control.

Accordingly, unless expressly agreed otherwise in writing, Gaiia does not guarantee:

  • revenue or profitability;
  • investment returns;
  • customer acquisition or retention;
  • business growth;
  • product-market success;
  • regulatory approval;
  • clinical or health outcomes;
  • customer satisfaction;
  • operational performance;
  • brand performance; or
  • any particular commercial or personal result.

17. Website Availability and Security

We aim to keep the Website available and functioning properly, but we do not guarantee that the Website will always be:

  • available;
  • uninterrupted;
  • error-free;
  • secure;
  • free from viruses or other harmful components; or
  • compatible with every device or browser.

We may modify, suspend, restrict, or discontinue all or part of the Website at any time.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Gaiia will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses arising from or relating to:

  • use of or inability to use the Website;
  • reliance on Website content;
  • third-party websites or services;
  • loss of data;
  • business interruption;
  • loss of profits, revenue, opportunities, or anticipated savings; or
  • decisions made based on information provided through the Website or our services.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

For paid consulting services, any additional limitation of liability applicable to the engagement will be set out in the relevant written agreement.

19. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold Gaiia and its directors, officers, employees, contractors, and representatives harmless from claims, liabilities, losses, damages, costs, and reasonable expenses arising from:

  • your unlawful or unauthorised use of the Website;
  • your breach of these Terms;
  • your violation of another person’s rights; or
  • information or materials you submit to the Website or Gaiia in violation of applicable law or third-party rights.

This provision does not apply to the extent that a claim results from Gaiia’s own unlawful conduct or liability that cannot legally be excluded.

20. Privacy

Your use of the Website is also subject to our Privacy Policy, which explains how we collect, use, store, and protect personal information.

By using the Website, you acknowledge that you have reviewed the Privacy Policy.

21. Suspension and Termination

We may suspend or terminate your access to the Website where we reasonably believe you have breached these Terms or where necessary to protect the Website, our users, our business, or third parties.

Termination or suspension will not affect provisions that by their nature are intended to survive termination, including provisions concerning intellectual property, confidentiality, limitations of liability, indemnity, dispute resolution, and applicable law.

For consulting engagements, termination will be governed by the applicable engagement agreement where one exists.

22. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we will update the “Last updated” date at the beginning of this page.

Your continued use of the Website after updated Terms are published constitutes acceptance of the updated Terms to the extent permitted by applicable law.

If a material change affects an existing client engagement, the terms of the applicable written engagement agreement will continue to govern that engagement unless otherwise agreed.

23. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally possible.

The remaining provisions will continue in full force and effect.

24. Entire Agreement

These Terms, together with the Privacy Policy and any applicable written engagement agreement, proposal, statement of work, quotation, or other contractual document, constitute the agreement governing the relevant subject matter.

Where a separate written agreement conflicts with these Terms, the separate agreement will prevail for the specific engagement to the extent of the conflict.

25. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

Subject to any mandatory rights or remedies available under applicable law, disputes arising out of or relating to these Terms or your use of the Website shall be subject to the jurisdiction of the courts having appropriate jurisdiction over the relevant dispute.

For specific consulting engagements, the governing law and dispute-resolution provisions contained in the applicable written agreement may apply instead.
